1. General

1.1 These Terms & Conditions (“Terms”) govern all sales contracts between I AM-ABLE LLC, a New York company (“I AM-ABLE,” “we,” “us,” or “our”) and customers (“you,” “Customer”) via our site iamablewear.com.
1.2 By placing an order or using our Site, you agree to these Terms. If you do not accept them, do not purchase or use the service.

2. Definitions

2.1 “Products” means the physical goods offered for sale on the Site.
2.2 “Order” means your offer to purchase Products, subject to acceptance by us.
2.3 “Affiliate / Ambassador Program” refers to our referral program under which participants (Ambassadors) earn commission on qualified sales.
2.4 “Account” means a user account you create on our Site.

3. Formation of Contract / Order Acceptance

3.1 Displaying Products for sale does not constitute a binding offer. Your Order constitutes an offer to purchase.
3.2 We reserve the right to accept or reject your Order for any reason, including stock unavailability, suspected fraud, or pricing error.
3.3 If we accept your Order, we will send you an Order confirmation via email. The contract is formed at that point.

4. Prices & Payment

4.1 The prices you see on the Site are in USD and inclusive of applicable taxes (unless otherwise indicated). Shipping, import duties, and handling charges (if any) are additional.
4.2 Payment is processed through Shopify Payments and other accepted methods. By submitting payment, you authorize us (or our processor) to charge the payment method.
4.3 We reserve the right to verify any Order and withhold shipment until verification is complete.
4.4 If payment fails or is reversed, we may cancel your Order or suspend fulfillment.

5. Delivery & Risk

5.1 The delivery methods, estimated shipping times, and regions we ship to are listed in our Shipping Policy, incorporated by reference.
5.2 Delivery times are estimates only; we are not liable for delays due to carrier, customs, weather, or other factors.
5.3 Risk of loss or damage passes to you when the carrier takes possession of the Product.
5.4 Title (ownership) remains with I AM-ABLE until full payment is received.

6. Returns, Refunds & Damages

6.1 Returns and refunds are governed by our Return Policy, incorporated by reference.
6.2 You must notify us of any damaged or incorrect items within 7 days of delivery, providing order number and photos.
6.3 If we approve a return, we will issue refunds to the original payment method after inspection and within the timeframe specified in the Return Policy.
6.4 International customers are responsible for return shipping and customs/duties.

7. Loyalty, Affiliate & Ambassador Programs

7.1 Participation in our Loyalty Rewards program is subject to our rules; points have no cash value and are non-transferrable.
7.2 In our Affiliate / Ambassador Program, authorized participants may earn 12 % commission on qualified referral sales (excluding tax, shipping, and discounts).
7.3 Commissions are paid only on completed, non-returned Orders, as tracked by your assigned code or link.
7.4 Abuse, self-referrals, or fraudulent behavior may result in disqualification and commission forfeiture.
7.5 We reserve the right to modify or terminate the program or commission rate at any time.

8. Intellectual Property

8.1 All content on the Site (text, images, graphics, logos, slogans, designs) is owned by I AM-ABLE or its licensors and protected by copyright, trademark, and other laws.
8.2 You may not copy, reproduce, distribute, create derivative works, or use any content except as expressly permitted in writing.
8.3 Unauthorized use may result in legal action.

9. User Content & Social Media

9.1 When you submit content (reviews, photos, tags, social media posts) referencing I AM-ABLE, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content for marketing or promotional purposes.
9.2 You warrant and represent that you own or otherwise have all necessary rights, licenses, and permissions to grant the foregoing license, and that your content does not infringe, misappropriate, or otherwise violate the intellectual property, privacy, or other rights of any third party.

10. Prohibited Conduct

 You agree not to:

     10.1 Use the Site for illegal, fraudulent, or unauthorized purposes;

     10.2 Interfere with the security or integrity of the Site;

     10.3 Harass, threaten, intimidate others;

     10.4 Upload malicious code or spam;

     10.5 Misrepresent your affiliation with I AM-ABLE;

     10.6 Collect personal data of other users.

11. Limitation of Liability & Disclaimer of Warranties

11.1 To the fullest extent allowed by law, I AM-ABLE is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Site or Products.
11.2 Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid for the Product giving rise to the claim.
11.3 Products and services are provided “as is” and “as available,” without warranties of any kind.

12. Indemnification

12.1 You agree to indemnify, defend, and hold harmless I AM-ABLE LLC and its officers, employees, affiliates, and agents from any and all claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or your use of the Site or Products.

13. Governing Law & Dispute Resolution

13.1 These Terms are governed by the laws of the State of New York, without regard to conflict rules.
13.2 All disputes shall be subject to the exclusive jurisdiction of state or federal courts in Westchester County, New York.
13.3 You consent to such jurisdiction and venue.

14. Modifications to Terms

14.1 We may change or amend these Terms at any time by posting the new version on the Site, updating the “Effective Date.”
14.2 Your continued use after changes constitutes acceptance.
14.3 We may refuse service or access to users who do not comply with updated Terms.

15. Severability

15.1 If any clause is found to be invalid or unenforceable, that clause will be severed, and the remaining Terms will continue in full force.

16. Entire Agreement

16.1 These Terms, along with our Shipping Policy, Return Policy, Privacy Policy, and any program-specific agreements, constitute the entire agreement between you and I AM-ABLE.
